Multimodis Latina Ltd Licence Agreement

Terms and Conditions applicable to the Software Revise Latin Verbs

IMPORTANT: PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENCE AGREEMENT (REFERENCED BELOW AS ‘Licence', ‘Licence Agreement' OR ‘Terms and Conditions) CAREFULLY BEFORE USING THE SOFTWARE. MULTIMODIS LATINA LTD IS WILLING TO LICENSE THE SOFTWARE TO YOU AS THE INDIVIDUAL, THE SCHOOL, THE INSTITUTION, OR THE LEGAL ENTITY (REFERENCED BELOW AS ‘You' OR ‘Your') THAT WILL BE UTILISING THE SOFTWARE, ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE PROVISIONS OF THIS LICENCE AGREEMENT

This is a legal and enforceable contract between You and Multimodis Latina Ltd. By opening the package containing the CD, breaking the seal, clicking the ‘I agree", "Accept" or "Yes" button or otherwise indicating assent electronically, or loading the Software, You agree to the Terms and Conditions. If You do not agree to the Terms and Conditions, click the "I do not accept" or "no" button or otherwise indicate refusal, and make no further use of the software.

Note that Revise Latin Verbs is designed currently to run only on IBM compatible personal computers: please contact Multimodis Latina Ltd at info@reviselatin.com if you are interested in a version which can be run on an Apple MacIntosh computer.

1. Licence:
The software and documentation that accompanies this Licence Agreement (collectively the "Software") is the property of Multimodis Latina Ltd, or its licensors, and is protected by copyright law. While Multimodis Latina Ltd continues to own the Software, You will have certain rights to use the Software after Your acceptance of this Licence Agreement. This Licence Agreement governs any releases, revisions, or enhancements to the Software that Multimodis Latina Ltd may furnish to You. Except as may be modified by specific written authority from Multimodis Latina Ltd to You that accompanies, precedes, or follows this Licence Agreement, Your rights and obligations with respect to the use of this Software are as follows.

A. If You have purchased a SINGLE USER LICENCE, You may install one copy of the Software on a single computer for Your own personal use. Your SINGLE USER LICENCE is automatically transferred to each upgrade of the Software when You install the upgrade. Your SINGLE USER LICENCE for any prior version of the Software expires when You install an upgrade. You may install the Software onto the hard disk of Your computer and retain the original for archival purpose. You are not permitted to make other copies of the Software.

B. If You have purchased a SCHOOL SITE LICENCE, or Multimodis Latina Ltd has given You a FREE SCHOOL SITE LICENCE, You may install a copy of the Software on Your school or institution network, for access by any computers that can access the Software over that network, provided that such computers are on the school or institution campus. A SCHOOL SITE LICENCE does not include the right to use the Software from a site remote from the school or institution campus. You may install the Software onto Your network and retain the original for archival purpose. You are NOT permitted to make other copies of the Software.

C. If You have an EVALUATION LICENCE, Multimodis Latina Ltd authorises You to use the Software during the evaluation period for the sole purpose of evaluating the Software. You may install the Software on a personal computer or a school or institution server so the students can access it on campus, and retain the original for archival purpose. You are not permitted to make other copies of the Software. For reasons of copyright and security, this evaluation Software is not available for installation on any sorts of computer used at home by students, including laptop and desktop computers.

D. If You have a FREE FIXED TERM LICENCE or a FREE SCHOOL SITE LICENCE with an expiry date, You may install the software on your school server and your own personal computer.

E. You may not use the Software for any other purpose other than those already stated, including (but not limited to):

a. The copying of any documentation that accompanies the Software;

b. The sublicensing, renting or leasing of any portion of the Software including graphics and animations;

c. The reverse engineering, decompiling, disassembling, modifying, translating, making any attempt to discover the source code of the Software, or creating derivative works from the Software;

d. The use of the Software in any manner not authorized by this licence.

2. Return and Replacement Policy
Our official return and replacement policy is as follows:
Multimodis Latina Ltd will replace any CD of the Software which has defects in materials and workmanship in the medium on which the Software is recorded, provided that the CD has been subjected to normal use and service. Upon the return by the buyer of such defective CD within 6 weeks of purchase, Multimodis Latina Ltd will dispatch a replacement copy free of postage and packaging charges.

3. Refund Policy
In some cases a product may be unsatisfactory to You for reasons completely beyond the control of Multimodis Latina Ltd. If technical support is unable to assist in rectifying technical problems, Multimodis Latina Ltd may agree to a refund.
Our customer service team may approve a refund request received within 6 weeks of purchase if You have provided clear and creditable evidence that Your case merits a refund.

The return of any hard copy or copies of the Software which may have been sent to You is required in the case of a refund. Similarly, in the case of a refund, You are required to delete the Software and its component parts from any computer on to which You have loaded and/or installed it.

4. Disclaimer
Although great care has been taken in testing this program on different hardware configurations, it is not possible to foresee all issues arising from all possible combinations of hardware devices and software. Multimodis Latina Ltd does not take any responsibility for compatibility of peripheral hardware or third party software including printers and printer drivers. If You do have any problems with peripheral hardware or other software, it is suggested that You ensure that you have the latest device drivers installed and contact the manufacturer for support.

Multimodis Latina Ltd, its employees, contractors or licensors shall not be liable for any losses suffered by You or any other user as a result of advice or support given by its employees, contractors or licensors.

You assume all risk with respect to your use of the Software and any CD on which it has been imprinted.

By downloading and running the Software from this or other sites distributing our Software you assume all risk with respect to your use of the Multimodis Latina Ltd websites and running the Software program, and acknowledge that the Software may have defects or deficiencies, and that certain features and functions in such Software may not be in subsequent releases or be available throughout all times.

Multimodis Latina Ltd makes no representations about the suitability of this software or about any content or information made accessible by the Software, for any purpose. This Software is provided 'as is' without express or implied warranties, including warranties of merchantability and fitness for a particular purpose or noninfringement. Multimodis Latina Ltd, its employees, contractors or licensors, shall not be liable for any losses suffered by You or any other user as a result of using the Software or inability to use the Software.

5. Miscellaneous
A. Multimodis Latina Ltd reserves the right, at its discretion and at any time without prior notice or warning, to alter any or all of the provisions stated in these Terms and Conditions.

B. This agreement will be governed by the laws of New Zealand.
